Extending research on the performance of Mergers and Acquisitions (M&As), this paper seeks to explain how the post-acquisition integration phase affects acquisition performance. Despite extensive research efforts, there remains a scant understanding of how acquisition implementation, particularly in the post-acquisition integration phase, impacts the performance of M&As. Based on an extensive study of eight acquisitions, in this paper, a grounded model detailing the mechanisms by which the post-acquisition integration phase affects acquisition performance is developed. The model posits that integration-related factors do not bear directly upon acquisition performance. Instead, their effect is mediated by functional organizations in both firms. When focusing into these functional mediating dynamics, we observe that integration-related processual, behavioral and cultural factors affect the identified functional mediators in different ways. Going forward, we echo calls for integrated perspectives to the study of M&A and M&A performance in particular. 相似文献

ABSTRACTThis article identifies trends in the adoption and implementation of quotas for corporate boards, an underresearched topic in political science. Corporate quotas—like legislative quotas—constitute the “fast track” to gender equality but appear more commonly in advanced democracies. These corporate quotas fall into three categories: laws covering all companies; laws covering state-owned companies only; and nonbinding (voluntary) measures in corporate governance codes. Despite on-paper differences, these corporate quotas are largely toothless. First generation corporate quotas, like first generation legislative quotas, operate symbolically. By raising the specter of stringent legislation in the long run, corporate quotas induce firms into voluntary compliance in the short run. 相似文献

We usually think that positive events are more likely to occur to us than to others and vice versa for negative events. This phenomenon, called comparative optimism, increases both social utility and the tendency to present oneself as above average. The literature highlights the same elements in competition. Our objective was to study the links between comparative optimism and competition and to argue that social utility can explain this relation. In our study, we presented participants with comparative optimistic, comparative pessimistic or neutral targets. We observed that a comparative optimistic target was perceived to fit better with a competitive situation than other targets because he/she was deemed socially useful (e.g., assertive, self-confident). Participants also felt that a comparative optimistic target pursued more performance goals than the other targets. This effect was mediated by the perception of this target as a competitive person. These results, consistent with our assumptions, highlight the competitive dimension of comparative optimism. 相似文献

This article has a twofold purpose, first to explore how the founding of museums helps the mining industry to create a new way to look at what becomes natural in landscapes that are intervened by mining operations, and second to analyze how this new way of looking at the landscape ignites a process of recontextualization having a material impact on the territories. As part of this discussion, this article reveals how the technologies of mining production have evolved, facilitating the companies’ material production, and how the mining museum becomes a fundamental part of this technological development. This article looks at two mining museums owned or funded by the Chilean copper mine Los Pelambres, the ‘Museum of Copper and Sustainable Development’, located in Los Vilos next to Los Chungungos dock, and the ‘Andróniko Luksic Mining Center’, located in the engineering department at the Pontificia Universidad Católica in Santiago. Housing adaptation aims to enable clients to live independently in their own homes. Studies focusing on participation in everyday life following a housing adaptation are lacking and needed. This study aimed to explore housing adaptation clients' experiences of participation in everyday life before and after a housing adaptation, through the lens of a housing adaptation, using a qualitative follow-up design, with 11 participants. It was found that when the housing adaptation met the participants' needs, performance of activities improved and the housing adaptation opened doors to engagement and participation in everyday life. Thus, focus on performance and engagement in everyday life at the onset of the housing adaptation process, combined with regular follow-ups, may enhance participation. 相似文献

在中国经济转型的大市场环境下,企业如何将公司创业的意愿成功付诸于创业行动,是学术界广泛讨论的话题。文章利用全国私营企业调查问卷表数据,以102家私营企业作为案例样本,通过模糊集定性比较分析(QCA)方法将企业家个体特质与情境两个层面整合,同时从这两个层面进一步细分,去探讨组态效应对公司创业的多重并发影响机制。经过数据分析可以获知,企业家的社群式身份是高公司创业活跃度的必要条件,且导致高公司创业活跃度有四条组态(路径);导致非高公司创业活跃度的有一条组态(路径),两者之间存在非对称关系。 相似文献

如何防范公司违规、保护投资者利益是资本市场研究的热点问题。以2010-2017年沪深两地A股2853家上市公司为研究样本,基于部分可观测的Bivariate Probit模型的实证结果显示:公司所在地区的社会信任水平越高,其违规倾向越低,被违规稽查的概率则越高;进一步研究发现,风险喜好型高管会降低社会信任对公司违规倾向的抑制作用,并在一定程度上强化了社会信任对公司违规稽查的影响力度;此外,相较于信息披露违规,社会信任对经营违规倾向的抑制作用更为显著,并且更为有效地提高了经营违规被稽查的概率。 相似文献
